Helio AI Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Helio AI platform, website, APIs, software, and related services (collectively, the "Services").
These Terms form a legally binding agreement between Helio AI ("Helio", "we", "our", or "us") and the customer, company, organization, or individual using the Services ("Customer", "you", or "your").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms.
1. Services
Helio provides a software platform that assists organizations with recruitment and talent acquisition activities, including but not limited to:
- Applicant Tracking System (ATS) functionality;
- Candidate management;
- Resume and document processing;
- AI-powered candidate matching and ranking;
- Job posting and distribution;
- Communication and workflow automation;
- Analytics and reporting;
- Integrations with third-party services.
We may modify, improve, or discontinue features from time to time.
2. Eligibility
You must:
- Be at least 18 years old;
- Have authority to bind the organization you represent;
- Comply with all applicable laws and regulations.
If you are using the Services on behalf of an organization, you represent that you have authority to accept these Terms on its behalf.
3. Accounts
You are responsible for:
- Maintaining the confidentiality of login credentials;
- All activity occurring under your account;
- Ensuring authorized users comply with these Terms.
You must immediately notify Helio of any unauthorized access or security incident involving your account.
4. Customer Data
Ownership
Customer retains ownership of all data uploaded, submitted, or generated through the Services, including:
- Candidate information;
- Resumes;
- Job descriptions;
- Interview notes;
- Communications;
- Reports and recruitment data.
Helio does not acquire ownership rights in Customer Data.
License to Process Data
You grant Helio a limited license to process Customer Data solely for:
- Providing the Services;
- Supporting platform functionality;
- Security monitoring;
- Improving service performance;
- Meeting legal obligations.
5. Candidate Data and Privacy
Customers are responsible for ensuring they have appropriate legal rights to collect, upload, and process candidate information.
For candidate information uploaded to the platform:
- Customer acts as the data controller;
- Helio acts as the data processor/service provider.
Processing of personal information is governed by our Privacy Policy and, where applicable, our Data Processing Agreement.
6. AI Features
The Services include artificial intelligence and machine learning features.
AI-generated outputs may include:
- Candidate matching scores;
- Candidate summaries;
- Skill extraction;
- Resume analysis;
- Job description generation;
- Recruitment recommendations.
AI-generated outputs are provided for informational purposes only.
Customers remain solely responsible for:
- Reviewing outputs;
- Making hiring decisions;
- Ensuring compliance with employment laws;
- Avoiding discriminatory or unlawful practices.
Helio does not guarantee the accuracy, completeness, or suitability of AI-generated outputs.
Hiring decisions must always be made by humans.
7. Acceptable Use
You agree not to:
- Violate any law or regulation;
- Upload malicious code or harmful content;
- Attempt unauthorized access to the Services;
- Reverse engineer the platform;
- Interfere with platform security;
- Use the Services to discriminate unlawfully;
- Use the Services to spam candidates;
- Upload content you do not have permission to use.
Helio may suspend access for violations of this section.
8. Third-Party Services
The Services may integrate with third-party platforms including:
- Job boards;
- Email providers;
- SMS providers;
- Calendar systems;
- HR software;
- Cloud service providers.
Helio is not responsible for the availability, functionality, or policies of third-party services.
9. Fees and Payment
Paid subscriptions are billed according to the plan selected by the Customer.
Unless otherwise specified:
- Subscription fees are non-refundable;
- Fees are payable in advance;
- Taxes are the Customer's responsibility;
- Failure to pay may result in suspension of Services.
Helio may change pricing with reasonable prior notice.
10. Intellectual Property
Helio retains all rights, title, and interest in:
- Software;
- Platform functionality;
- APIs;
- Documentation;
- Trademarks;
- Service improvements;
- AI models developed by Helio.
Nothing in these Terms transfers ownership of Helio intellectual property to the Customer.
11. Feedback
If you provide suggestions, ideas, or feedback regarding the Services, Helio may use them without restriction and without compensation.
12. Confidentiality
Each party agrees to protect confidential information received from the other party using reasonable care.
Confidential information includes:
- Business information;
- Technical information;
- Pricing;
- Product roadmaps;
- Customer Data.
Confidential information may only be disclosed when required by law.
13. Security
Helio implements reasonable technical and organizational security measures designed to protect Customer Data.
However, no system can guarantee complete security.
Customers are responsible for maintaining secure passwords and account access controls.
14. Service Availability
Helio will use commercially reasonable efforts to maintain platform availability.
We do not guarantee uninterrupted or error-free operation.
Scheduled maintenance, security updates, and circumstances beyond our control may affect availability.
15. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELIO DISCLAIMS ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- ACCURACY OF AI OUTPUTS;
- UNINTERRUPTED AVAILABILITY.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
HELIO SHALL NOT BE LIABLE FOR:
- LOST PROFITS;
- LOST REVENUE;
- LOSS OF DATA;
- BUSINESS INTERRUPTION;
- INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
HELIO'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY THE CUSTOMER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
17. Indemnification
Customer agrees to indemnify and hold harmless Helio, its officers, employees, and affiliates from claims arising from:
- Customer Data;
- Customer's violation of these Terms;
- Customer's violation of applicable laws;
- Customer's recruitment activities.
18. Suspension and Termination
Helio may suspend or terminate access if:
- Fees remain unpaid;
- These Terms are violated;
- Use of the Services presents security, legal, or operational risks.
Customers may terminate subscriptions according to their subscription plan.
Upon termination:
- Access to the Services will end;
- Customer may request export of data within a reasonable period;
- Helio may delete Customer Data after applicable retention periods.
19. Changes to Services or Terms
Helio may modify the Services or these Terms from time to time.
Material changes will be communicated through the platform, email, or website.
Continued use of the Services constitutes acceptance of the updated Terms.
20. Governing Law
These Terms shall be governed by the laws of Georgia, without regard to conflict of law principles.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Tbilisi, Georgia.
